Terms and Conditions

Neo Tec UPS Ltd (Neo Tec)

1. Definitions / General
1.1 References to “we”, “us”, “our” or “Neo Tec UPS Ltd” are to Neo Tec UPS Ltd (registered in England & Wales). References to “customer”, “you”, “your” are to the buyer of goods or services from Neo Tec UPS Ltd.
1.2 These Terms & Conditions apply to the supply of goods (e.g. UPS units, battery packs, accessories) and any associated services by Neo Tec UPS Ltd, unless otherwise agreed in writing.
1.3 No variation to these Terms & Conditions shall be effective unless agreed in writing and signed by Neo Tec UPS Ltd.
1.4 These Terms constitute the entire agreement between the parties and supersede all previous agreements or understandings relating to their subject.

2. Quotations, Price and Contract Formation
2.1 All quotations shall clearly state prices both excluding VAT and inclusive of VAT, where applicable. Where relevant, delivery and other charges will also be clearly shown.
2.2 Orders are accepted at quoted prices, but in exceptional circumstances (e.g., currency fluctuations, component shortages, manufacturer cost changes) Neo Tec UPS Ltd reserves the right to revise price before delivery — in which case we will notify you; you will have the option either to accept the revised price or cancel your order within 7 days of notice.

2.3 Neo Tec UPS Ltd reserves the right to refuse any order placed by the customer.
2.4 Unless otherwise agreed in writing, a binding contract is formed upon delivery of goods or commencement of services (not at the time of quotation or order).

 

3. Payment / Settlement Terms
3.1 Payment terms are “net 30 days” for approved accounts (subject to satisfactory credit status).
3.2 For new customers or where prior supply has not been fully paid, payment shall be required before dispatch or by separate agreement stated on the invoice.
3.3 Neo Tec UPS Ltd reserves the right to surcharge any account settled by credit/charge card by an agreed percentage (if applicable).
3.4 Where payment is overdue, Neo Tec UPS Ltd may charge interest (e.g., at 8.0 % above the Bank of England base rate per month or part thereof) and may invoke debt‑recovery procedures; any costs incurred in pursuing overdue debts may be passed on to the customer.

4. Delivery, Risk & Title
4.1 Delivery lead times quoted are from receipt of order (or approval of drawings/specifications where relevant).

4.2 Delivery may involve third‑party carriers which can mean lead times are subject to delays beyond our control.
4.3 Risk of loss or damage passes to you on delivery to the address stated on the order.
4.4 Title (ownership) of goods does not pass to you until all sums owing in respect of those goods (or any other goods supplied) have been paid in full. (A “retention of title” / “Romalpa” clause.)
4.5 If you do not notify Neo Tec UPS Ltd in writing of any non‑delivery, damage or loss within 4 days of delivery, the goods will be deemed to have been delivered in good order.

4.6 Should you wish to reschedule a delivery, notice should be given to Neo Tec UPS Ltd at least 3 working days prior to the planned delivery date. Deliveries which are turned away or aborted may be liable for a return delivery fee.

5. Specification, Design Changes & Suitability
5.1 All goods supplied will conform to the specification, drawings, descriptions or data sheets provided by Neo Tec UPS Ltd at the time of order.
5.2 However, Neo Tec UPS Ltd reserves the right to modify designs or specifications without notice (e.g., to improve product performance, to reflect component availability), provided that any modifications do not materially degrade the product’s functionality.
5.3 It is assumed that goods specified by you are suitable for the purpose for which they are ordered; you are responsible for ensuring suitability, installation environment, compliance with regulations, and correct use.

6. Inspection, Testing & Acceptance
6.1 If you require any special tests or inspection of goods in your presence, these must be requested in writing at the time of order. Unless otherwise agreed, such inspection/test will take place at our works and may be charged as extra.
6.2 Acceptance of delivery or payment (or failure to notify defects promptly) shall constitute acceptance of the goods.

7. Warranty & Guarantee
7.1 Warranties on products sold by Neo Tec UPS Ltd are those provided by the manufacturer. Neo Tec UPS Ltd may in its discretion assist with warranty claims. Detailed warranty terms for each product are available upon request.
7.2 Unless otherwise stated in accompanying literature, the standard warranty period is 12 months from the date of purchase.
7.3 Warranty is limited to repair or replacement of defective units (at the manufacturer’s discretion). Neo Tec UPS Ltd and its supply partners accept no liability for—and will not entertain claims for—consequential losses, data loss, business interruption, or any indirect/delayed damages.
7.4 Warranty does not cover defects or failures caused by: misuse, neglect, improper installation or commissioning, unauthorized modification, abnormal working conditions, wear and tear, or operation outside rated limits.
7.5 For on‑site repair (if agreed), the customer must provide reasonable access during normal working hours. Repairs requested and carried out outside normal hours may incur additional charges, which must be borne by the customer.
7.6 Any warranty swap‑out (replacement) is conditional on return of the failed unit within a specified timeframe and in accordance with the manufacturer’s return procedure. If the failed unit is not returned timely, Neo Tec UPS Ltd reserves the right to invoice the cost of replacement or recovery.

8. Returns / Cancellations (Business Customers)
8.1 Returns require prior written agreement and must follow Neo Tec UPS Ltd’s Returns Procedure, including assignment of a Returns Number. Goods returned without prior authorisation or proper marking may be refused.
8.2 Postage or carriage costs for returns are borne by you.
8.3 Cancellation of an order (after acceptance but before delivery) requires written consent by Neo Tec UPS Ltd and will incur a handling charge (e.g., 25 % of order value) plus any additional costs incurred (e.g., aborted logistics, restocking).

8.4 Goods agreed to be returned must be returned within 14 days of delivery.

9. Limitation of Liability
9.1 Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by our negligence; (b) fraud; or (c) any matter for which it is unlawful to exclude liability.
9.2 Subject to clause 9.1, Neo Tec UPS Ltd will not be liable for loss of profit, data, business opportunity, or any indirect, consequential, or economic losses.
9.3 Our total liability under any one contract will not exceed the lower of: (i) the price paid for the relevant goods/services; or (ii) the amount recoverable under our product or professional liability insurance (as applicable) at the time of the claim.
9.4 We will not be liable for defects arising from installation, commissioning, or servicing carried out by anyone other than an electrically competent person certified or approved by us; nor for defects resulting from misuse, alteration, improper maintenance, fair wear and tear, or failure to follow our instructions.

10. Export / Overseas Orders
10.1 For orders for export outside the UK, payment must be accompanied by a reference to a UK bank or other suitable organisation acceptable to Neo Tec UPS Ltd, prepared to accept payment responsibility upon presentation of invoice and shipping documents.
10.2 For overseas orders, warranty, maintenance, and returns terms may vary and will be as specified in writing at the time of order.

11. Installation, Commissioning & Maintenance (If Provided by Neo Tec UPS Ltd)
11.1 Where Neo Tec UPS Ltd is engaged to install, commission or maintain supplied products, such work must be carried out by electrically competent personnel approved by Neo Tec UPS Ltd.
11.2 Commissioning must be completed before the equipment is connected to any power systems. Warranty is invalidated if installation or commissioning is carried out by unauthorised personnel.
11.3 Maintenance work must likewise be carried out only by approved personnel; failure to do so voids warranty and invalidates any liability for resulting damage.

12. Packaging & Recycling
12.1 Unless otherwise agreed, disposal and recycling of packaging materials and any unwanted items delivered with the product is the customer’s responsibility.
12.2 Neo Tec UPS Ltd encourages recycling; where possible packaging will be recyclable.

13. Compliance & Specification Accuracy
13.1 Neo Tec UPS Ltd endeavours to ensure accuracy of all published data, descriptions, specifications, data‑sheets, brochures, and literature about products.
13.2 However, Neo Tec UPS Ltd does not guarantee that such information will be error‑free, and is not liable for loss or damage resulting from errors, omissions or inaccuracies.
